Flatly Terms of Service

Effective date: October 23, 2026

These Terms of Service (“Terms”) are an agreement between you and Flatly, LLC (“Flatly,” “we,” “us”), 440 N Barranca Ave #1810, Covina, CA 91723, USA, covering your use of flatly.io, the Flatly app at app.flatly.io, and the Flatly API (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use Flatly on behalf of a company, you agree for that company and confirm you have authority to do so.

The short version

  • Flatly copies data from apps you connect into destinations you control. You choose what syncs, where, and how often.
  • You’re responsible for having the right to move that data and for checking that it lands where and how you expect.
  • Flatly depends on third-party apps and APIs we don’t control. When they change or go down, syncs can fail or be incomplete.
  • The Service is provided “as is,” and our liability is limited to what you paid us in the last 12 months (section 8).
  • Subscriptions renew automatically until you cancel.

1. The Service and your account

What Flatly does. Flatly is a data integration service. It reads data from sources you connect (such as SaaS apps, databases, and financial institutions) and writes it as flat files or tables to destinations you connect (such as Google Sheets, Excel Online, Airtable, Smartsheet, cloud storage, or BigQuery), manually or on a schedule you set. Each set of instructions is a “job,” and each run of a job is a “sync.”

Conduit architecture. Flatly does not keep a copy of your synced data. Data passes through our systems during a sync and is deleted from our cache when the sync completes. Flatly is not a backup service, data warehouse, or system of record.

Eligibility. You must be at least 18 and able to form a binding contract. The Service is designed for business use.

Your account. Each account is for one user and may not be shared. Give accurate registration information, keep your login credentials secure, and turn on two-factor authentication. You’re responsible for everything that happens under your account. Tell us right away at support@flatly.io if you think your account or connections have been compromised.

Support. Support is offered by email and in-app chat on eligible plans, and may include automated or AI-generated answers. Those answers can be wrong; check important guidance with a person on our team.

2. Connections, your data, and destinations

You authorize each connection. When you connect a source or destination, you authorize Flatly to access it with the credentials or permissions you provide and to read from and write to it as your jobs direct. You can delete a connection at any time, and you can also revoke access at the connected service.

You own your data. As between you and Flatly, you own the data that moves through your syncs (“Your Data”). You give Flatly a limited permission to access, process, transform, and transmit Your Data only as needed to run the Service for you, to provide support you request, and to keep the Service secure. We handle personal information as described in the Privacy Policy.

You’re responsible for your right to move the data. You confirm that you have every right, permission, and consent needed to connect each account and to copy Your Data to the destinations you choose. That includes any personal information about your customers, employees, or others, and compliance with the terms of each connected service and with privacy, financial, and other laws that apply to that data. Don’t sync data you aren’t allowed to move, and don’t use Flatly to process data that requires special legal safeguards (such as protected health information under HIPAA or payment card numbers) unless we have agreed to it in writing.

Destinations and overwrites. Depending on your job settings, a sync may create, replace, overwrite, or append to files, sheets, tables, and folders in your destinations. You’re responsible for choosing the right destination, file names, and settings, and for keeping your own backups of anything in a destination that matters to you. Flatly is not responsible for data that is overwritten, deleted, or exposed because of the destination or settings you chose, or because of who has access to that destination. Destination Lock and two-factor authentication are tools to help you; using them is your choice.

Check your output. Flatly transforms data into flat formats, which can change structure, types, formatting, or precision. Syncs can be delayed, partial, or fail. Review your data before relying on it for financial reporting, tax, compliance, or other important decisions.

Third-party services. Sources and destinations are run by third parties, not Flatly. Their availability, API changes, rate limits, permissions, outages, and data quality are outside our control, and they can change or end access without notice. When that happens, affected syncs may fail, be incomplete, or stop working, and we may need to change or remove an integration. Your use of each connected service is governed by its own terms.

Financial data and Plaid. Bank and financial account connections are made through Plaid Inc. By connecting them, you agree to Plaid’s End User Privacy Policy. Account and transaction data comes from your financial institution through Plaid as is. Flatly is not a bank, money transmitter, or financial, tax, or accounting advisor.

Usage limits. Plans include limits on cells, connections, subconnections, and sync frequency, shown on the pricing page and in your account. If you exceed a limit, syncs may be paused or truncated until you reduce usage or upgrade. During a free trial, synced data is limited to the first 100 rows.

3. Acceptable use

You may not, and may not help anyone else:

  • connect accounts or copy data you don’t have the right to access or move;
  • use the Service to break the law or the terms of a connected service, or to infringe anyone’s privacy or intellectual property;
  • share your account, resell the Service, or let others use it without our written permission;
  • probe, scan, or test the Service’s security, or get around authentication, usage limits, or Destination Lock;
  • upload or transmit malware, or interfere with or overload the Service or its infrastructure;
  • reverse engineer, copy, or build a competing product from the Service, except where the law expressly allows it;
  • scrape the Service or access it by automated means other than the Flatly API; or
  • register accounts with bots or create multiple accounts to extend free trials.

API. If you use the Flatly API, follow its documentation and rate limits and keep your API keys secret. We may throttle, suspend, or revoke API access that we reasonably believe is abusive, excessive, or puts the Service at risk, and will try to warn you first when practical.

4. Plans, billing, and cancellation

Free trial. New accounts get a 14-day free trial with no credit card required. Some features and data volumes are limited during the trial. A trial ends automatically and does not turn into a paid plan unless you subscribe.

Subscriptions and renewal. Paid plans are billed monthly or annually in advance through Stripe. Your subscription renews automatically for the same term, using your payment method on file, until you cancel. Prices and plan features are shown on the pricing page and at checkout.

Cancellation. You can cancel at any time in your account settings or by emailing support@flatly.io. Cancellation takes effect at the end of your current billing period, and you keep access until then. See our Cancellation Policy for details.

Refunds. Fees are non-refundable, including for partial billing periods, unused usage, or downgrades, except where the law requires otherwise or where we decide to issue a refund at our discretion.

Price changes. We may change prices or plans. We’ll give you at least 30 days’ notice before a price increase applies to your subscription, and it will take effect at your next renewal. If you don’t agree, you can cancel before then.

Taxes and failed payments. Prices don’t include taxes unless stated; you’re responsible for applicable taxes. If a payment fails, we may retry it and may suspend syncs or your account until the balance is paid.

Discounts and coupons. Discounts and coupon codes are subject to the terms shown with the offer, can’t be combined unless stated, have no cash value, and may be withdrawn at any time.

Consumers in Germany. If you are a consumer in Germany, after the initial term your subscription continues for an indefinite period and you may cancel it at any time with one month’s notice.

5. Intellectual property

Flatly and its licensors own the Service, including its software, integrations, documentation, design, and trademarks. Subject to these Terms and your payment of any fees, we give you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes. All other rights are reserved.

If you send us ideas or feedback, we may use them without any obligation to you.

6. Suspension and termination

By you. You can stop using the Service and delete your account at any time. Deleting your account doesn’t cancel charges already due or entitle you to a refund.

By us. We may suspend or terminate your account or any job, connection, or API access if you breach these Terms, fail to pay, create a security or legal risk, or if your usage threatens the stability of the Service. Where practical, we’ll give notice and a chance to fix the problem first. We may also end the Service or any integration with at least 30 days’ notice, and will refund any prepaid fees for the period after it ends.

After termination. Your right to use the Service ends, your jobs stop running, and we delete your connection credentials and account data as described in the Privacy Policy. Because Flatly doesn’t store Your Data, data already delivered to your destinations stays there under your control. Sections 2 (your responsibilities), 5, 7, 8, 9, and 10 survive termination.

7. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the fullest extent the law allows, Flatly disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.

Without limiting that, Flatly does not promise that:

  • syncs will run on time, without interruption, or without errors;
  • data delivered to your destinations will be complete, accurate, current, or in any particular format;
  • any source, destination, integration, or API will remain available or keep working the same way;
  • the Service will meet your requirements or work with your systems; or
  • the Service is free of bugs or harmful components.

Uptime, reliability, and sync-success figures we publish describe past performance and are not a service level commitment. Nothing in the Service is financial, tax, accounting, or legal advice.

8. Limitation of liability

To the fullest extent the law allows:

  1. No indirect damages. Flatly and its owners, officers, employees, contractors, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, or anticipated savings, however caused and even if we were told they were possible.
  2. Data and third parties. We will not be liable for any loss, corruption, overwriting, or disclosure of data, or the cost of recreating it, or for decisions made using synced data, or for the acts, omissions, outages, or API changes of any source, destination, Plaid, or other third-party service.
  3. Cap. Our total liability for all claims relating to the Service or these Terms, under any legal theory, is limited to the greater of (a) the amount you paid Flatly for the Service in the 12 months before the event giving rise to the claim, or (b) US $100.
  4. Time limit. Any claim must be brought within one year after it arises, or it is permanently barred.

These limits apply whether the claim is based on contract, tort (including negligence), strict liability, or any other theory, and even if a limited remedy fails of its essential purpose. They don’t limit liability that can’t be limited by law, such as liability for fraud, gross negligence, or willful misconduct, or rights consumers have that can’t be waived. Some jurisdictions don’t allow certain exclusions, so some of these limits may not apply to you.

Australia. Nothing in these Terms excludes rights under the Australian Consumer Law that can’t be excluded. Where our liability for breach of such a right can be limited, it is limited to supplying the services again or paying the cost of having them supplied again.

9. Indemnification

You will defend, indemnify, and hold harmless Flatly and its owners, officers, employees, and contractors from any third-party claims, losses, damages, fines, and costs (including reasonable legal fees) arising from: Your Data; your connections and choice of destinations; your use of the Service; your breach of these Terms or of a connected service’s terms; or your violation of any law or third-party right. We’ll tell you about any such claim and let you control the defense, though we may join with our own counsel at our own expense.

10. Changes, governing law, and disputes

Changes to the Service. We regularly add, change, and retire features and integrations. We’ll give reasonable notice of changes that materially reduce what your paid plan includes.

Changes to these Terms. We may update these Terms. We’ll post the new version here with a new effective date and, for material changes, notify you by email or in the app at least 15 days before they take effect. Continuing to use the Service after that means you accept the changes; if you don’t, you can cancel before they take effect.

Governing law and venue. These Terms are governed by the laws of the State of California and applicable US federal law, without regard to conflict-of-law rules. Any dispute will be heard exclusively in the state or federal courts located in Los Angeles County, California, and you and Flatly consent to their jurisdiction. If you are a consumer whose local law gives you stronger protections or a right to sue at home, those rights are not affected.

Informal resolution first. Before filing a claim, please email support@flatly.io describing the issue. We’ll respond within 7 days and both sides will try in good faith to resolve it within 30 days.

11. General

  • Entire agreement. These Terms, the Privacy Policy, and any order or plan terms you accept are the entire agreement between you and Flatly about the Service.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of internet, cloud, or third-party services.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
  • Severability and waiver. If any part of these Terms is unenforceable, it will be changed to the minimum extent needed and the rest stays in effect. Not enforcing a right is not a waiver of it.
  • Notices. We send notices to your account email. You can send notices to support@flatly.io.
  • Export and sanctions. You may not use the Service in violation of US export or sanctions laws.
  • No agency. These Terms don’t create a partnership, employment, or agency relationship.
